These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between Rhed AI ("we," "us," "our," or "Company") and you ("Client," "you," or "your") governing your access to and use of all services, products, and platforms provided by Rhed AI.

By accessing, subscribing to, or using any Rhed AI service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of all Rhed AI services.

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.

2. Services Offered

Rhed AI provides professional artificial intelligence (AI) and automation services, including but not limited to:

AI automations and intelligent workflow development

Custom AI chatbots and conversational agents

AI-powered customer support systems

AI-driven Software-as-a-Service (SaaS) platforms

AI consulting and strategic advisory services

API-based AI tools and integrations

Website and chatbot integration services

Data analysis, modeling, and AI fine-tuning

Custom automation solutions (via platforms such as Zapier, Make.com, Relevance AI, and similar tools)

Other AI-related or automation services as mutually agreed upon

Service Modifications: We reserve the right, at our sole discretion, to modify, suspend, discontinue, or update any service, feature, or functionality at any time, with or without prior notice. We are not liable for any modification, suspension, or discontinuation of services.

3. Eligibility and Representations

3.1 Business Use Only

Rhed AI services are intended exclusively for business and commercial use. Individual consumers seeking personal AI services should consult our policies or contact us for clarification.

3.2 Client Representations and Warranties

By using Rhed AI services, you represent and warrant that:

You are legally authorized to represent and bind the business or entity on whose behalf you are engaging our services

You have the legal capacity and authority to enter into binding contractual agreements

You are at least 18 years of age

Your use of our services complies with all applicable local, state, federal, and international laws and regulations

You will not resell, redistribute, sublicense, or white-label any Rhed AI service, product, or output without express written authorization from Rhed AI

3.3 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and use of our services, and to promptly update such information as necessary.

4. Payment Terms and Billing

4.1 Payment Structures

Rhed AI offers various payment models, including:

Subscription plans – recurring monthly or annual billing

Retainer agreements – prepaid service packages

Usage-based billing – charges based on API calls, automation runs, or resource consumption

Project-based fees – one-time payments for defined deliverables

Deposits – upfront payments required before commencement of certain services

Free trials – promotional access, if offered, subject to specific terms

4.2 Billing Cycle and Payment

Subscription fees are billed on a recurring basis (monthly or annually, as selected) and are due in advance.

Payment is due immediately upon invoice unless otherwise specified in a separate written agreement.

Deposits, where applicable, are non-refundable and must be received before work commences.

Usage-based charges will be billed periodically based on actual consumption of resources, API calls, or automation executions.

4.3 Payment Methods

We accept payment via credit card, debit card, ACH transfer, PayPal, Stripe, and other approved payment processors. You authorize us to charge your designated payment method for all applicable fees.

4.4 Late Payments and Suspension

Failure to pay invoices on time may result in suspension or termination of services.

Late payments may incur interest charges or late fees as permitted by applicable law.

We reserve the right to suspend access to services until all outstanding balances are paid in full.

4.5 No Refund Policy

All payments are final and non-refundable. We do not offer refunds, credits, or pro-rated refunds under any circumstances, including but not limited to:

Dissatisfaction with services or results

Early termination or cancellation

Unused portions of subscriptions or retainers

Service interruptions or downtime

Changes in business needs

Exceptions to this policy may be made solely at the discretion of Rhed AI management and must be requested in writing.

4.6 Price Changes

We reserve the right to modify pricing for our services at any time. Price changes for existing subscriptions will take effect at the start of the next billing cycle following notice to you. Continued use of services after a price change constitutes acceptance of the new pricing.

4.7 Taxes

You are responsible for all applicable sales, use, value-added, and other taxes or duties imposed by governmental authorities, excluding taxes based on Rhed AI's net income.

5. Client Responsibilities and Acceptable Use

5.1 Lawful and Ethical Use

You agree to use Rhed AI services in a lawful, ethical, and responsible manner, in compliance with all applicable laws, regulations, and industry standards.

5.2 Prohibited Activities

The following activities are strictly prohibited and constitute material breaches of these Terms:

Engaging in any illegal, fraudulent, or criminal activity

Creating, distributing, or promoting hateful, discriminatory, harassing, defamatory, or harmful content

Impersonating any person or entity, or misrepresenting your affiliation with any person or entity

Distributing malware, viruses, or other malicious code

Overloading, disrupting, or attempting to gain unauthorized access to our systems, servers, or networks

Reverse-engineering, decompiling, disassembling, or attempting to derive source code from any Rhed AI product or service

Manipulating, exploiting, or abusing AI models or systems for unethended purposes

Violating intellectual property rights, privacy rights, or other proprietary rights of third parties

Sharing, selling, or transferring account credentials or access rights

Using AI outputs for harmful, misleading, or unethical purposes, including the creation of misinformation

Attempting to bypass, disable, or circumvent usage limits, API rate limits, security measures, or access controls

Engaging in activities that violate the terms of service of third-party platforms or APIs integrated with our services

Scraping, data mining, or harvesting data from our systems without authorization

5.3 Consequences of Violations

Violation of any provision in this section may result in immediate suspension or termination of your account and access to services, without refund or prior notice. We reserve the right to pursue legal remedies and report unlawful activities to law enforcement authorities.

6. Company Rights and Discretion

Rhed AI reserves the following rights, exercisable at our sole discretion:

Modify, update, enhance, or discontinue any service, feature, or functionality

Suspend, restrict, or terminate user accounts or access to services

Refuse service to any individual or entity for any lawful reason

Remove, restrict, or moderate content that violates these Terms or is otherwise objectionable

Enforce fair usage policies, including limitations on automation runs, API calls, data storage, and computational resources

Update, revise, or modify pricing, billing structures, and service plans

Temporarily or permanently shut down systems for maintenance, upgrades, security patches, or operational reasons

Implement rate limits, throttling, or resource caps to ensure system stability and equitable access

Monitor usage patterns and investigate suspicious or abusive activity

Assign or transfer our rights and obligations under these Terms to a third party

7. Intellectual Property Rights

7.1 Rhed AI Ownership

Rhed AI retains all right, title, and interest in and to the following, including all intellectual property rights therein:

AI systems, algorithms, models, and proprietary technologies

Software, platforms, SaaS tools, dashboards, and user interfaces

Automations, workflows, scripts, configurations, and system architectures

Documentation, training materials, methodologies, and processes

Trademarks, service marks, logos, branding, and trade dress

All improvements, derivatives, and enhancements to the foregoing

Nothing in these Terms grants you any ownership rights or licenses to Rhed AI's intellectual property, except as expressly stated herein.

7.2 Client Ownership

Clients retain all ownership rights to:

Business data, files, documents, and materials uploaded to or provided to Rhed AI

Brand assets, logos, trademarks, and proprietary content submitted by the Client

Pre-existing intellectual property owned by the Client prior to engagement with Rhed AI

By submitting materials to Rhed AI, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such materials solely for the purpose of providing services to you.

7.3 AI-Generated Outputs

Ownership: Rhed AI retains ownership of all AI-generated outputs, including but not limited to text, code, images, data, reports, and other content created by our AI systems.

License to Client: Upon full payment of applicable fees, Rhed AI grants you a non-exclusive, royalty-free, perpetual, worldwide license to use AI-generated outputs for your internal business purposes.

Restrictions: You may not:

Resell, redistribute, sublicense, or commercialize AI-generated outputs as standalone products

Claim ownership or authorship over Rhed AI's proprietary AI tools, models, or underlying technologies

Use outputs in a manner that violates applicable law or these Terms

7.4 Feedback and Suggestions

Any feedback, suggestions, ideas, or recommendations you provide to Rhed AI regarding our services ("Feedback") will be deemed non-confidential and non-proprietary. You hereby grant Rhed AI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution.

8. AI Disclaimers and Limitations of Liability

8.1 Nature of AI Technology

Artificial intelligence technology is inherently probabilistic and may produce results that are inaccurate, incomplete, inconsistent, biased, or unpredictable. By using Rhed AI services, you acknowledge and accept these inherent limitations.

8.2 Client Responsibility for Review

You are solely responsible for reviewing, verifying, and validating all AI-generated outputs before use. Rhed AI does not guarantee the accuracy, completeness, reliability, or suitability of any AI output for any particular purpose.

8.3 No Warranties

RHED AI PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

Warranties regarding accuracy, reliability, availability, timeliness, or completeness of services

Warranties of uninterrupted or error-free operation

Warranties that defects will be corrected

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RHED AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, exemplary, or punitive damages

Loss of profits, revenue, data, goodwill, or business opportunities

Business interruption or loss of use

Damages arising from reliance on AI-generated outputs

Damages resulting from decisions, actions, or omissions based on our services

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Rhed AI has been advised of the possibility of such damages.

AGGREGATE LIABILITY CAP: In no event shall Rhed AI's total aggregate liability to you for all claims arising out of or related to these Terms or your use of our services exceed the total amount of fees you paid to Rhed AI in the twelve (12) months preceding the event giving rise to liability.

8.5 No Guarantee of Uptime or Performance

We do not guarantee continuous, uninterrupted, or secure access to our services. Services may be subject to limitations, delays, interruptions, outages, or failures due to maintenance, technical issues, third-party dependencies, or other factors beyond our control.

8.6 Use at Your Own Risk

You use Rhed AI services entirely at your own risk. You assume full responsibility for all decisions, actions, and outcomes resulting from your use of our services or reliance on AI-generated outputs.

9. Account Termination and Cancellation

9.1 Client-Initiated Cancellation

You may cancel your account or subscription at any time by contacting us at [email protected] or through your account settings (if available).

Cancellation will take effect at the end of your current billing cycle.

You will retain access to services until the end of the paid period.

No refunds or credits will be issued for unused portions of subscriptions or prepaid services.

9.2 Company-Initiated Termination

Rhed AI reserves the right to suspend or terminate your account, access to services, or any ongoing project at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms or any applicable laws or regulations

Non-payment or breach of payment obligations

Abuse, misuse, or exploitation of AI systems or services

Harmful, illegal, fraudulent, or unethical conduct

Security risks, threats, or vulnerabilities

Business, operational, or technical reasons

At our sole discretion

9.3 Effect of Termination

Upon termination:

Your access to all Rhed AI services will cease immediately

You will remain liable for all outstanding fees and charges

Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution) will continue to apply

9.4 Data Deletion

Following account termination or cancellation, Rhed AI may delete or anonymize your data in accordance with our Privacy Policy and data retention practices. We are not obligated to retain, return, or provide access to your data after termination. You are responsible for exporting or backing up any data you wish to preserve prior to termination.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms, and any disputes arising out of or related to these Terms or your use of Rhed AI services, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.

10.2 Exclusive Jurisdiction and Venue

You agree that any legal action, suit, or proceeding arising out of or related to these Terms or your use of Rhed AI services must be brought exclusively in the state or federal courts located in Collin County, Texas.

10.3 Consent to Personal Jurisdiction

By using Rhed AI services, you irrevocably and unconditionally:

Consent to the exclusive personal jurisdiction of the courts located in Collin County, Texas

Waive any objection to jurisdiction, venue, or inconvenient forum

Agree that the courts of Collin County, Texas have exclusive authority to resolve all disputes

10.4 No Mandatory Arbitration

Rhed AI does not require binding arbitration or mediation as a precondition to litigation. All disputes will be resolved through the Texas court system unless both parties mutually agree in writing to an alternative dispute resolution process.

10.5 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND RHED AI WAIVE ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES.

10.6 Attorney's Fees and Costs

In the event of any litigation, arbitration, or legal proceeding arising out of or related to these Terms, the prevailing party shall be entitled to recover its reasonable attorney's fees, court costs, and other litigation expenses to the fullest extent permitted by Texas law.

10.7 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Additional Terms and Policies

11.1 AI Usage Restrictions

In addition to the prohibitions outlined in Section 5, the following uses of Rhed AI services are strictly prohibited:

Scams, fraud, phishing, identity theft, or impersonation

Creation or dissemination of misinformation, disinformation, or deceptive content

Promotion of violence, hate speech, harassment, or discrimination

Facilitation of illegal activity, including but not limited to trafficking, money laundering, or distribution of controlled substances

Violation of third-party platform policies, API terms, or usage restrictions

11.2 Fair Usage Limits

To ensure equitable access and system stability, Rhed AI may impose:

API call limits or quotas

Caps on automation execution runs

Data storage or bandwidth limitations

Throttling or rate limiting of resource-intensive operations

Excessive or abusive usage may result in additional charges, service restrictions, or account suspension.

11.3 Data Backup Responsibility

You are solely responsible for maintaining backups of your data and content. Rhed AI does not guarantee the availability, preservation, or backup of client content or data. Loss of data due to service interruptions, technical failures, or account termination is not the responsibility of Rhed AI.

11.4 SaaS Uptime and Availability

We strive to provide reliable and accessible services but do not guarantee 100% uptime or availability. Scheduled maintenance, emergency repairs, outages, and service interruptions may occur. We are not liable for any downtime or unavailability of services.

11.5 Professional Services Disclaimer

Any consulting, advisory, or strategic services provided by Rhed AI are informational in nature and do not constitute legal, medical, financial, or professional advice. You are responsible for seeking independent professional verification and consultation before making business decisions based on our services.

11.6 Third-Party Integrations

Our services may integrate with or rely upon third-party platforms, APIs, and services (e.g., OpenAI, Anthropic, Zapier, Make.com). We are not responsible for the availability, performance, terms, or policies of third-party services. Your use of such services is subject to their respective terms and conditions.

11.7 Indemnification

You agree to indemnify, defend, and hold harmless Rhed AI, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

Your use or misuse of Rhed AI services

Your violation of these Terms

Your violation of any applicable law or regulation

Your infringement of any third-party rights

Content, data, or materials you provide or submit to Rhed AI

11.8 Force Majeure

Rhed AI shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, pandemics, or failures of third-party services or infrastructure.

12. Modifications to Terms

Rhed AI reserves the right to modify, update, or revise these Terms at any time, at our sole discretion. When material changes are made, we will:

Update the "Last Updated" date at the top of this document

Provide notice via email, website notification, or other reasonable means (where practicable)

Continued use of Rhed AI services following any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services immediately.

13. Severability and Waiver

13.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

13.2 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Rhed AI's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and Rhed AI regarding your use of our services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
